It is both! The Kodak Easyshare software that comes with the Kodak digital cameras includes an application known as "backweb".
Backweb is a utility that is supped to check on the web and make sure that the supported software is the most up-to-date and current version and, if it finds a newer version than what you have installed it lets you know and downloads the lasest version. You can get mor einfo on backweb here:

Older versions of Backweb also collected some private info on you and sent that back to the distributor (in your case, Kodak).
Personally, I'd remove all the Kodak software and not worry about it. When you connect your cemera to you PC WinXP will see the camera and allow you to access it with Explorer and copy any files over to your hard drive. The Easyshare software isn't necessary.
