If an employee of a company finds that the company is doing something improper, is it legal to offer him or her a separation of employment agreement that provides for a financial benefit to him and an obligation by him to never communicate what he knows outside the company?
Might be a good idea for said employee to see a lawyer; this sounds like an attempt to buy off a whistleblower but, without all the facts, I don't want to jump to conclusions.

This sure does sound an awful lot like blackmail/extortion to me.
