One reason why you would want to convert NTFS to FAT32 would be that with FAT32, you can re-partition your C: drive, where as with NTFS, partition solutions such as "Partition Magic" or even the one available in the Windows OS just won't let any partitioning happen.

What are you talking about smartindex?
Partition Magic allows you to partition and resize NTFS partitions unless you have an old version of it.
Even XP allows you to partition drives

There is no reason to use FAT32 these days other than transport drives you are using on multiple operating systems. Linux, Mac and Windows can all read and write FAT32. Linux finally may have a working solution for NTFS but I haven't checked into it lately.
